1. Agreement to Terms

These Terms of Use ("Terms") are a legally binding agreement between you and ContriX Limited, a company incorporated in Hong Kong ("whale.dance," "we," "us," or "our"), governing your access to and use of the whale.dance mobile application, website, and related services (collectively, the "Services").

By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not access or use the Services.

You must be at least 18 years old and have the legal capacity to enter into these Terms. By using the Services, you represent and warrant that you meet these requirements.

2. Nature of the Services — What whale.dance Is and Is Not

whale.dance is a non-custodial software application. The Services consist solely of software, a user interface, data display, and tools that allow you to view information, configure parameters, connect your own self-custody wallet, and, where supported, transmit your own authorized instructions to unaffiliated third-party venues, protocols, smart contracts, and service providers.

We do not, at any time:

  • take custody of, hold, control, or have access to your funds or digital assets;
  • operate an exchange, trading venue, broker, dealer, money services operator, or money transmitter;
  • act as your broker, dealer, agent, advisor, or fiduciary;
  • exercise discretion over the routing or execution of any transaction;
  • generate "buy" or "sell" signals or make recommendations regarding any specific asset, transaction, or strategy.

Your funds and digital assets remain in your own self-custody wallet under your sole control at all times. You are solely responsible for the security of your wallet, private keys, seed phrases, and credentials. We cannot recover, reverse, freeze, or access your assets or transactions.

Any communications, content, market data, or informational materials provided through the Services are for general informational purposes only and do not constitute financial, investment, legal, or tax advice, nor a solicitation, recommendation, or endorsement of any transaction, asset, strategy, or outcome.

3. Third-Party Services

The Services may allow you to interact with unaffiliated third parties, including fiat on-ramp providers, wallet providers, blockchain networks, and decentralized protocols. We do not own, control, or operate these third parties. Your use of any third-party service is governed by that third party's own terms, and is at your own risk. We are not responsible or liable for the acts, omissions, fees, availability, or performance of any third party.

When you fund your wallet through a third-party on-ramp provider, that provider — not whale.dance — processes your payment, performs identity verification, and delivers assets directly to your own wallet. We never receive, hold, or control those funds.

4. Eligibility and Geographic Restrictions

The Services are not available to, and may not be used by, any person who is:

  • located in, a resident of, or accessing the Services from the United States or any other restricted jurisdiction we may designate from time to time;
  • a resident of, or located in, any jurisdiction subject to comprehensive sanctions, or any person on any sanctions or restricted-party list (including the U.S. OFAC SDN list, and equivalent lists maintained under Hong Kong law);
  • otherwise prohibited from using the Services under applicable law.

You represent and warrant that you are not such a person and that you will not access the Services from a restricted jurisdiction.

You may not use a VPN, proxy, or any other method to disguise your location or circumvent any geographic or access restriction, and you may not misrepresent your residency or identity. We reserve the right to screen wallet addresses and to restrict or terminate access to comply with applicable law, including sanctions and anti-money-laundering requirements.

5. Assumption of Risk

You understand and accept that:

  • digital assets are highly volatile and may lose all value;
  • transactions on blockchain networks are generally irreversible, and losses from fraudulent or accidental transactions are not recoverable;
  • the regulatory status of digital assets is uncertain and may change;
  • smart contracts and third-party protocols may contain bugs, vulnerabilities, or fail entirely;
  • you are solely responsible for evaluating any transaction you choose to make and for any resulting gains or losses.

You use the Services entirely at your own risk and are solely responsible for your own decisions.

6. Acceptable Use

You agree not to use the Services to engage in unlawful, fraudulent, or abusive activity; to launder money or finance illicit activity; to infringe any third party's rights; to interfere with or compromise the Services; or to circumvent any restriction described in these Terms.

7. User Content and Community Standards

The Services let you post text content, including comments on group events ("User Content"). You are solely responsible for the User Content you post, and you retain ownership of it; by posting, you grant us a non-exclusive, worldwide, royalty-free license to host and display it for the purpose of operating the Services.

We have zero tolerance for objectionable content and abusive behavior. You may not post, and User Content must not contain, any material that is unlawful, defamatory, harassing, threatening, hateful, obscene, sexually explicit, that depicts or promotes violence, self-harm, or discrimination, that infringes any third party's rights, that is fraudulent or deceptive, or that is otherwise objectionable. The Services are intended for discussion of markets and trading; politically sensitive content — including political campaigning, propaganda, or material likely to incite political controversy — is not permitted. You may not impersonate any person or entity, spam other users, or post links to malicious or off-topic content.

Reporting and blocking. Every comment includes controls that let you (a) report objectionable content — including content you consider politically sensitive — to us, and (b) block an abusive user so you no longer see their content. We review reports and act on them — including removing content and suspending or terminating the accounts of users who post it — within 24 hours of receiving a report. You may also contact us at yo@whale.dance to report content or a user.

We may, but are not obligated to, monitor, screen, remove, or disable access to any User Content at our discretion, with or without notice, and may suspend or terminate the account of any user who violates these standards. We are not responsible for User Content posted by users.

8. Intellectual Property

The Services, including all software, text, graphics, the whale.dance name, logo, and mascot characters, are owned by or licensed to ContriX Limited and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose. You may not copy, modify, distribute, reverse-engineer, or create derivative works without our written consent.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL CONTRIX LIMITED OR ITS AFFILIATES, OFFICERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR DIGITAL ASSETS, ARISING FROM OR RELATING TO YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100).

11. Indemnification

You agree to indemnify and hold harmless ContriX Limited and its affiliates from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any law or third-party right.

12. Changes to the Services and Terms

We may modify, suspend, or discontinue the Services at any time. We may revise these Terms from time to time; the updated version is indicated by the "Last updated" date, and your continued use after changes become effective constitutes acceptance.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region ("Hong Kong"), without regard to conflict-of-law principles. Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under its Administered Arbitration Rules in force at the time of submission. The seat of arbitration shall be Hong Kong and the language of the arbitration shall be English.
